Terms of Service

§1Scope and Provider

(1) These Terms of Service apply to all contracts regarding the use of the platform "SendMeSafe" between SQAN Ltd, a subsidiary of Perzepta Capital PLC (Company Registration Number 15578436, 36-38 Cornhill International House, London, EC3V 3NG, United Kingdom) – hereinafter referred to as "Provider" – and the Customer.

(2) Deviating terms and conditions of the Customer shall not be recognized unless the Provider expressly agrees to their validity in writing.

§2Description of Services

(1) SendMeSafe provides a platform for securely receiving client files via individual upload links. The platform includes a dashboard for managing clients, upload links, and received files.

(2) The scope of features depends on the selected plan (Free, Starter, Pro, or Team). Current features are available on the pricing page.

(3) The Provider reserves the right to further develop and improve the scope of features, provided this is reasonable for the Customer.

§3Contract Formation and Registration

(1) The presentation of services on the website does not constitute a legally binding offer but rather an invitation to submit an offer.

(2) By registering, the Customer submits a binding offer to enter into a usage agreement. The contract is concluded when the Provider confirms the registration or activates access.

(3) The Customer is obligated to provide truthful information and to keep their access credentials confidential.

§4Free Plan and Trial Period

(1) The Free plan is permanently free of charge and includes limited features (3 clients, 5 upload links, 1 GB storage).

(2) Paid plans can be tested free of charge for 14 days. After the trial period expires, the subscription is automatically terminated unless the Customer actively selects a paid plan.

There is no automatic charge after the trial period.

§5Prices and Payment

(1) Prices for paid plans are listed on the website. All prices are in Euros and include the applicable value-added tax where applicable.

(2) Billing is processed monthly or annually in advance through the payment provider Stripe. The Provider does not charge additional fees for credit card payments.

(3) In the event of payment default, the Provider may block access to the platform after a reminder and a reasonable grace period.

§6Contract Duration and Termination

(1) Monthly subscriptions can be canceled at any time at the end of the billing period. Annual subscriptions renew automatically for another year unless canceled with 30 days' notice before expiration.

(2) Cancellation can be made through the account settings or by email to support@sendmesafe.com.

(3) The right to extraordinary termination for good cause remains unaffected.

§7Customer Obligations

(1) The Customer is responsible for all content that is uploaded or requested through their account.

(2) The Customer may not use the platform for unlawful purposes, in particular not for the distribution of malware, for copyright infringement, or for collecting data without the consent of the affected parties.

(3) The Customer shall indemnify the Provider against all third-party claims arising from a breach of these obligations.

§8Data Protection

(1) The Provider processes personal data in accordance with the Privacy Policy and the provisions of the GDPR.

(2) A Data Processing Agreement (DPA) is available upon request for the processing of customer data on behalf of the Customer (uploaded files).

(3) All data is stored on servers in the European Union (EU).

§9Availability

(1) The Provider strives for high availability of the platform but cannot guarantee uninterrupted accessibility.

(2) Maintenance work will be announced where possible and carried out outside of normal business hours.

§10Liability

(1) The Provider is fully liable for damages resulting from injury to life, body, or health, as well as in cases of intent and gross negligence.

(2) In cases of slight negligence, the Provider is only liable for breach of material contractual obligations. Liability in this case is limited to the typical, foreseeable damage.

(3) Liability for indirect damages, lost profits, and data loss is excluded to the extent permitted by law.

§11Changes to Terms of Service

(1) The Provider may amend these Terms of Service with 30 days' notice. Changes will be communicated to the Customer by email.

(2) If the Customer does not object within 30 days of receiving the notification, the amended Terms of Service shall be deemed accepted. The Provider will draw attention to this consequence in the notification of changes.

§12Final Provisions

(1) The law of England and Wales applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers in the EU, mandatory consumer protection provisions of the country of residence remain unaffected.

(2) The place of jurisdiction for all disputes is London, to the extent permitted by law.

(3) Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
